1. Identification and scope
1.1 The Modern Reference is a sole proprietorship (commerçant personne physique) of Lise Bacca Ivanov, having its registered office at 21, rue Glesener, L-1631 Luxembourg, Grand Duchy of Luxembourg (from 1 October 2026: 128, rue de Mühlenbach, L-2168 Luxembourg, Grand Duchy of Luxembourg), registered with the Luxembourg Trade and Companies Register (Registre de Commerce et des Sociétés, Luxembourg) under number A46902, holding business licence (autorisation d'établissement) number 10192784/0 and VAT number LU34970625 ("TMR"). TMR may be contacted at hello@themodernreference.com.
1.2 These general terms and conditions (the "Terms") govern all contracts concluded between TMR and a Customer in relation to the services offered by TMR, namely the Membership and the Gatherings organised by TMR. Articles 1 to 12 of the Terms apply to all such contracts. Articles 13 to 26 of the Terms apply to the Membership. Articles 27 to 29 of the Terms apply to the Gatherings.
1.3 The Terms apply together with the Terms of Use of the Website, the Terms of Use of the Members' Area, the Privacy Policy and the Cookies Policy, all available on the Website. In case of conflict, the Terms prevail over the Terms of Use, and both prevail over any rules communicated within the Members' Area. Specific conditions communicated by TMR for a given Gathering prevail over articles 27 to 29 of the Terms for that Gathering.
1.4 The Terms apply to the Customers acting for purposes outside their business or professional activities. Corporate memberships, partnerships with houses, venues and brands, and any other service offered by TMR to business customers are governed by separate agreements.
1.5 The Applicant accepts the Terms by ticking the mandatory acceptance box provided for that purpose on the final page of the Membership confirmation process, immediately before the payment step, without which the Applicant cannot proceed to payment. A person who is not a Customer and wishes to book a seat at an Open Event or any other event to which persons who are not Members may be admitted (the External Participant), accepts the Terms by ticking the mandatory acceptance box displayed at the final step of the booking process through the Ticketing Service, immediately before payment, without which that person cannot proceed to payment. The information provided to the Customer or the External Participant, as applicable, before completion of the relevant transaction, on the final page of the Membership confirmation process or at the final step of the booking process through the Ticketing Service , as applicable, and in the Terms, forms an integral part of the contract of such person with TMR. Each version of the Terms is identified by its date. The version of the Terms accepted by the Applicant is referred to in the Membership confirmation and remains available at any time, in a format that can be stored and reproduced, on the Website and within the Members’ Area. For an External Participant, the accepted version of the Terms is provided or made accessible through the booking confirmation. A guest of a Member at a tmr Evening does not personally accept the Terms and is informed of their relevant provisions by the inviting Member, in accordance with article 15.5 of the Terms.

3. Prices and payment
3.1 Prices are expressed in euros and include value added tax at the applicable rate. The total price applicable to an order or booking is the price displayed at the time of confirmation.
3.2 Payments are made by card through the Payment Service Provider integrated into the Members' Area platform and the Ticketing Service. A receipt is issued electronically for each payment.
4. Right of withdrawal
4.1 Without prejudice to clause 4.3 below, for contracts other than the Membership where a Customer enters into a contract with TMR at a distance, the Customer is entitled to withdraw from that contract within fourteen (14) days of its conclusion, without giving any reason and without incurring any cost in accordance with the applicable provisions of the Luxembourg Consumer Code (Code de la consommation). To exercise this right of withdrawal, the Customer must notify TMR of the decision to withdraw by an unequivocal statement sent by email to hello@themodernreference.com before the expiry of the withdrawal period. The model withdrawal form set out in Annex 1 may be used for that purpose.
4.2 The Membership takes effect from the Start Date in accordance with article 13.4 of the Terms. The Applicant expressly requests that TMR begins providing the Membership services from the Start Date, before the expiry of the fourteen (14) days' withdrawal period. This express request results from the Applicant's acceptance of the Terms by ticking the mandatory acceptance box referred to in article 1.5 of the Terms, on the final page of the Membership confirmation process, immediately before the payment step, without which the Applicant cannot proceed to payment; this clause is also displayed on that page before payment. Where the right of withdrawal is exercised after performance has begun, TMR nonetheless refunds the amount paid in full, as a commercial gesture, within fourteen (14) days of the notification of withdrawal, using the payment method used for the initial transaction.
4.3 The right of withdrawal does not apply to seats at Gatherings booked for a specific date or specific period, these being services related to leisure activities for which the contract provides a specific date or specific period of performance. In such case, the Participant is informed before booking that no right of withdrawal applies and seats at such Gathering are therefore not refundable where the Participant cancels or does not attend, subject to conditions of article 28 of the Terms and of the specific conditions communicated for each Gathering.
5. Personal data
5.1 TMR processes the personal data of Customers as data controller, in accordance with applicable data protection laws and its Privacy Policy, available on the Website, which describes the data processed, the purposes, the legal bases, the retention periods and the rights of data subjects. Third-party service providers involved in the provision of the Members' Area platform, the payment services and the Ticketing Service may process personal data and, depending on the nature of the processing concerned, may act on behalf of TMR or as independent controllers, as described in the Privacy Policy.
6. Photographs and image
6.1 TMR may have Gatherings photographed for the purposes of tmr Circle and its communications. TMR does not publish or share any image on which a Participant is recognisable without the express consent of that Participant. Images of the setting, the table, the venue and the atmosphere, on which no Participant is recognisable, may be used on the channels and communications of TMR without further consent.
6.2 Consent is collected from each Participant for each Gathering, at the time of booking or confirmation of attendance, through a choice among three options: images on which the Participant is recognisable may be used (i) on the public channels of TMR (Website, social media, The Letter, press and partner communications); or (ii) only within the Members' Area; or (iii) not at all. Consent covers the images of that Gathering, for the channels chosen, for the period specified in the Privacy Policy. Consent may be withdrawn at any time by email to hello@themodernreference.com, without affecting any processing carried out on the basis of consent before its withdrawal, in which case TMR will cease any further use of the image and, where reasonably possible, remove the image from the channels under its control within a reasonable time. Photographers working for TMR are bound by the same rules and do not use images on which a Participant is recognisable for their own purposes.
7. Content and intellectual property
7.1 The content made available by TMR, including The Letter, the replays, the Guide and the texts, images and other materials available on the Website and the Members' Area, is protected by intellectual property rights belonging to TMR or to third parties who have authorised their use, and is made available for the personal use of the Customer only. Except as permitted by law or expressly authorised by TMR, the Customer shall not reproduce, forward, publish, share or otherwise make available such content, in whole or in part, to any third party and shall not download or record live conversations and their replays. The full version of The Letter is reserved for Members and shall not be forwarded or otherwise made available to third parties.
7.2 Content posted by a Member within the Members' Area remains the property of that Member and is governed by the Terms of Use of the Members' Area.
8. Liability
8.1 TMR is liable for the proper performance of its obligations under the Terms in accordance with applicable law. Nothing in the Terms shall, or shall be construed as purporting to, exclude or restrict the liability of TMR for death or personal injury caused by its negligence, for fraud (dol) or gross negligence (faute lourde), or any liability which cannot be excluded or restricted under Luxembourg law, including the provisions of the Luxembourg Consumer Code (Code de la consommation).
8.2 Gatherings take place in venues operated by third parties, and Privileges are provided by Partner Houses. The services, premises, products and conduct of those third parties are not part of the obligations of TMR under the Terms, except to the extent that TMR has expressly undertaken to provide them as part of its contractual obligations. TMR gives no warranty as to their quality and shall not be liable for these third parties , nor for personal belongings at Gatherings, except to the extent that TMR is liable under applicable law.
8.3 TMR shall not be liable for the acts, omissions or statements of Members, Participants or guests, whether at Gatherings, within the Members' Area or otherwise, except to the extent that TMR is liable under applicable law. Each Member is solely responsible for the content posted within the Members' Area and for the Member's own conduct.
9. Amendments to the Terms
9.1 TMR may amend the Terms where necessary, including to reflect changes in applicable law, changes to the Membership or the services provided by TMR or for operational reasons. TMR notifies Members of any amendment by email at least thirty (30) days before it takes effect and publishes the amended Terms on the Website with their date. Where an amendment is to the detriment of a Member and the Member does not accept it, the Member may terminate the Membership free of charge before the amendment takes effect, by email; failing which the amended Terms apply to the Membership from their effective date, to the extent permitted by applicable law. Bookings of Gatherings are governed by the version of the Terms applicable to the Participant at the time of booking through the Ticketing Service and by any specific conditions communicated for the relevant Gathering.
10. Notices
10.1 TMR communicates with the Customer by email at the address provided by the Customer, which the Customer is responsible to keep up to date. Notices sent by email are deemed received on the first (1) Business Day following their sending, unless TMR receives a notification of failed delivery thereof. The Terms and communications of TMR are in English.
11. Complaints, mediation, governing law and jurisdiction
11.1 Complaints are addressed to hello@themodernreference.com. Where a dispute cannot be resolved amicably, the Customer may refer it to the Luxembourg consumer mediation service (Service national du Médiateur de la consommation, www.mediateurconsommation.lu), without prejudice to the right to bring the matter before the courts.
11.2 The Terms are governed by the laws of the Grand Duchy of Luxembourg, without prejudice to the mandatory provisions of Regulation (EC) No 593/2008 of the European Parliament and of the Council of 17 June 2008 on the law applicable to contractual obligations (Rome I), including, where applicable, the consumer protection rules set out in Article 6 thereof. The courts of Luxembourg City have jurisdiction, without prejudice to the mandatory rules of jurisdiction applicable to consumers .
12. General provisions
12.1 The Terms, together with the documents to which they refer, constitute the entire agreement between the Customer and TMR regarding their subject matter. Where a provision is held invalid, the other provisions remain in force and the invalid provision is replaced by a valid one reflecting its intent as closely as possible. The failure of a party to exercise a right is not a waiver of that right.
12.2 The Customer cannot transfer a contract concluded with TMR. TMR may transfer the Terms and the contracts concluded under them to a company taking over the activity of TMR , with the same rights and obligations, provided that such transfer does not reduce the Customers’ rights under the contract, and informs the Customers concerned by email.
12.3 Neither party is liable for a failure to perform caused by event of force majeure in accordance with applicable law, including the unavailability of a venue or the cancellation of a Gathering for reasons outside the control of TMR, without prejudice to the rights of Participants under article 28.4 of the Terms.
13. Application and admission
13.1 tmr Circle is a private circle. Membership is open to any person aged eighteen or over, acting for purposes outside their business or professional activities, and admitted by TMR in accordance with this article. Membership is by application. The Applicant applies through the form on the Website and confirms that the information provided is accurate. As a rule, TMR has a conversation with every Applicant before admission; TMR may exceptionally admit an Applicant without one.
13.2 Admission is at the discretion of TMR, which is not required to give reasons for declining an application. Where an application is not successful, TMR deletes the personal data of the Applicant within one month of its decision, unless the Applicant has agreed that the application be kept on file for future openings, as described in the Privacy Policy.
13.3 Where an application is accepted, TMR sends the Applicant an email containing a link to confirm the Membership and pay (the "Payment Link"). The Payment Link is valid for five (5) days from the date of that email. If the Membership is not confirmed and payment received within that period, the offer expires and TMR may offer the place to another Applicant. Late payments may be accepted at the sole discretion of TMR.
13.4 The contract for the Membership takes effect on the date on which TMR receives confirmation of the first payment (the "Start Date"). On the Start Date, the Applicant becomes a Member. Access to the Members' Area is granted from the Start Date; the Member creates a Personal Account, protected by an email address and a password, the use of which is governed by the Terms of Use of the Members' Area.
13.5 For a contract other than a Membership, the contract is concluded when TMR confirms the relevant booking to the Customer or the External Participant, as applicable, following receipt of payment, unless otherwise specified in the Terms or in the conditions applicable to the relevant booking.
14. Membership plans
14.1 TMR offers two Membership plans: the Monthly Membership, at 35 euros per month, and the Annual Membership, at 350 euros per year. The price in force on the Start Date applies for the current term, subject to article 18 of the Terms.
14.2 The Monthly Membership is subject to a minimum commitment of three (3) months from the Start Date. Fees are collected monthly; no amount is collected in advance for the minimum commitment. Where the Member terminates the Monthly Membership before the end of the minimum commitment, the termination takes effect at the end of the third month and the monthly fees up to that date remain payable. The minimum commitment is without prejudice to the right of withdrawal under article 4 of the Terms and to the right of the Member to terminate the Membership under article 17.4 of the Terms in case of non- performance by TMR.
14.3 The Annual Membership is taken for a term of twelve (12) months from the Start Date.
15. The First 30
15.1 The first thirty Memberships confirmed constitute the First 30. Places among the First 30 are allocated in the order in which the first Membership payments are confirmed, until the thirty places are taken and at the latest until 31 October 2026, whatever the date of the application or of the admission.
15.2 First 30 Members benefit from the First 30 rate, presented on the Website as the founding rate: 30 euros per month for the Monthly Membership and 300 euros per year for the Annual Membership. The First 30 rate is granted for as long as the Membership remains continuous and uninterrupted. It is not affected by any price change under article 18 of the Terms. It is personal and cannot be transferred. It is lost definitively where the Membership ends at the initiative of the Member or as a result of a breach by the Member or lapses for non-payment under article 16.2 of the Terms; a Member who later rejoins tmr Circle does so at the rate then in force.
15.3 Each First 30 Member receives a numbered Membership Card, from 001 to 030, which the Member keeps for as long as the Membership remains continuous and uninterrupted.
15.4 First 30 Members are informed of Gatherings before other Members and, where they book within the priority period indicated by TMR for each Gathering, their bookings are confirmed before those of other Members, subject to available seats.
15.5 Once in each Membership Year, a First 30 Member may invite one guest to a tmr Evening free of charge, subject to available seats. The Member announces the guest to TMR by email at least seven (7) days before the tmr Evening, and TMR confirms the seat by email. The guest is a Participant, is bound by the Discretion Rules and by article 29 of the Terms, and the inviting Member is responsible for informing the guest of those rules and of the relevant provisions of the Terms before the tmr Evening.
15.6 TMR organises each year a dinner reserved for First 30 Members, offered at a preferential rate, on a date and under conditions communicated within the Members' Area.
16. Membership fees
16.1 By confirming the Membership, the Member authorises TMR to collect the fee for each period at its start, monthly for the Monthly Membership and yearly for the Annual Membership.
16.2 Where a payment fails, TMR notifies the Member by email and the payment is attempted again. Where the fee remains unpaid ten (10) days after its due date, TMR may suspend the access of the Member to the Members' Area and to the Privileges until payment. Where the fee remains unpaid thirty (30) days after its due date, TMR may terminate the Membership by notice to the Member, without prejudice to any amounts due under the Terms. A First 30 Member whose Membership is terminated under this article loses the First 30 rate definitively.
17. Term, renewal and termination
17.1 The Monthly Membership renews automatically each month after the minimum commitment set out in article 14.2 of the Terms. The Member may terminate it at any time by email to hello@themodernreference.com. Termination takes effect at the end of the current monthly period, or at the end of the minimum commitment if later. The month in progress is not refunded.
17.2 The Annual Membership renews automatically for successive periods of twelve (12) months, unless the Member terminates it before the renewal date. At least one month before each renewal date, TMR sends the Member an email reminding the Member of the upcoming renewal and of the right not to renew. The Member may terminate the Annual Membership at any time by email to hello@themodernreference.com; termination takes effect at the end of the current twelve-month term, and the fee for the current term is not refunded.
17.3 TMR may terminate the Membership where the Member breaches the Terms, the Discretion Rules or the Terms of Use. Except in case of serious breach, TMR first notifies the breach to the Member by email and grants the Member fifteen (15) days to remedy it. In case of serious breach, TMR may terminate the Membership with immediate effect by email. A serious breach may include, depending on the circumstances, disclosing the content of discussions held at a Gathering or the identity of persons present, publishing or sharing an image of a Member or a Participant without consent, using tmr Circle, the Members' directory or the Gatherings for prospecting or solicitation, or promoting a competing circle, club, community or membership concept or to recruiting for it, and any behaviour that is abusive, discriminatory or harmful towards a Member, a Participant, a Partner House or TMR. Where TMR terminates the Membership for a breach that is not serious, it refunds the part of the fee corresponding to the period after termination, pro rata. No refund is due in case of serious breach.
17.4 Where TMR seriously fails to perform its obligations under the Terms, the Member may notify the failure to TMR by email. Where TMR has not remedied the failure within fifteen (15) days, the Member may terminate the Membership with immediate effect, and TMR refunds the part of the fee corresponding to the period after termination, pro rata, without prejudice to the other legal rights of the Member.
18. Price changes
18.1 TMR may change the price of the Membership plans. TMR notifies any change to the Member by email at least thirty (30) days before it takes effect, specifying the new price, the date from which it applies and the Member's right to terminate the Membership in accordance with clause 18.2 below. A price change applies to the Membership from the first renewal following the end of the notice period.
18.2 A Member who does not accept the new price may terminate the Membership free of charge before the change takes effect, by email; the Membership then ends at the end of the current period.
18.3 A price change does not apply to the First 30 rate for as long as it is maintained under article 15 of the Terms.
19. Content of the Membership
19.1 For its duration, the Membership entitles the Member to: access to the Members' Area and its spaces, including the salon, the calendar, the Partner Houses space, the Members' directory, the Guide and the replays; the live conversations, talks, workshops and Q&As organised online by TMR with its guests, and their replays; the rendez vous hosted live by TMR for Members; The Letter in its full version; the Privileges with Partner Houses; priority booking on Open Events; two Included Evenings in each Membership Year; and the Membership Card.
19.2 TMR determines at its discretion the formats, frequency, guests, venues and editorial treatment of the services referred to in article 19.1 above, which may evolve. Any modification affecting digital content or digital services forming part of the Membership is made in accordance with applicable law. In respect of the organisation, format, frequency, guests, venues and editorial treatment of such services, TMR is subject to obligation of means (obligation de moyens), with the exception of the two Included Evenings, which are governed by article 21 of the Terms.
20. Members' Area
20.1 TMR makes reasonable efforts to keep the Members' Area available. The Members' Area is operated through a third-party platform, and its availability may be affected by maintenance, updates or incidents outside the control of TMR. TMR may change the platform or the organisation of the Members' Area and informs Members of any significant change, subject to the requirements of applicable law relating to digital content and digital services.
20.2 Where the Members' Area is unavailable for more than fifteen (15) consecutive days for reasons within the control of TMR, TMR extends the Membership by the duration of the unavailability or, at the request of the Member, refunds the proportionate part of the fee corresponding to the period of unavailability.
21. Included Evenings
21.1 The Membership includes two seats at tmr Evenings in each Membership Year (the "Included Evenings"), on dates chosen by the Member among the tmr Evenings organised by TMR. TMR announces each tmr Evening at least one (1) month in advance, as from the tmr Evening of November 2026. To use an Included Evening, the Member books through the Ticketing Service, choosing the included seat, at the latest seven (7) days before the tmr Evening. TMR confirms the request within four (4) Business Days, subject to available seats. Seats are allocated in the order in which requests are received, subject to article 15.4 of the Terms; where a tmr Evening is full, priority is given to Members who could not obtain a seat at the previous tmr Evening.
21.2 An Included Evening that has been confirmed and is not attended is used. It is restored to the Member where the Member cancels at least seventy-two (72) hours before the tmr Evening. Included Evenings are personal, have no monetary value, cannot be transferred, exchanged or refunded, and are not reimbursed where the Membership ends. Included Evenings not used at the end of the Membership Year expire, subject to article 21.3 below.
21.3 Where TMR organises fewer than six (6) tmr Evenings during a Membership Year, the Included Evenings that the Member was unable to use during that year remain valid for three (3) months after its end. They are used before the Included Evenings of the new Membership Year and expire at the end of those three months. No more than two Included Evenings may be carried over. This article is a facility granted by TMR and does not limit the legal rights of the Member in case of non-performance by TMR.
22. Membership Card, Partner Houses and Privileges
22.1 The Membership Card is personal and cannot be lent or transferred. It is presented to obtain the Privileges. Any misuse of the Membership Card, including its use by a third party, may lead to its suspension and to the measures set out in article 17 of the Terms.
22.2 TMR undertakes to maintain a selection of Partner Houses offering Privileges to Members. The content of each Privilege is set by the Partner House under its own conditions, which it may change or end; the Partner Houses and the Privileges in force are presented within the Members' Area. TMR is not a party to the purchases and services obtained by Members from Partner Houses. The change or end of a given Privilege does not entitle the Member to a refund of the Membership fee.
23. Members' directory
23.1 Each Member appears in the Members' directory within the Members' Area with the Member's first name, a short description of the Member's activity and the Member's interests as the Member chooses to provide, in accordance with the Privacy Policy. Listing in the directory is part of the Membership and is visible to Members only. The Member is responsible for keeping the entry accurate and uses the directory only for the purposes of tmr Circle, in accordance with article 24 of the Terms.
24. Discretion Rules
24.1 The Member shall keep confidential the identity of the persons present at Gatherings, the content of discussions held at Gatherings and within the Members' Area, and any personal information shared by other Members or Participants in that context. The Member shall not disclose, reproduce or use such information outside tmr Circle without the consent of the persons concerned.
24.2 The Member shall not photograph, film or record Members or Participants at Gatherings without their consent, and shall not publish or share any image on which a Member or a Participant is recognisable without the express consent of that person.
24.3 Conversations and introductions between Members, including about their respective professional activities, are part of tmr Circle. The Member shall not, however, use tmr Circle, the Gatherings, the Members' Area or the Members' directory for advertising, unsolicited commercial messages, systematic solicitation of Members or to recruit Members, Partner Houses or guests for, or otherwise promote, a competing circle, club, community or membership concept. The Member shall not extract, compile or use the contact details or personal information of other Members, whether from the Members' directory or otherwise, for commercial or marketing purposes, including to add them to a mailing list or a database, without their express consent.
24.4 The Member shall treat Members, Participants, Partner Houses, venues and their staff with respect. TMR may detail the Discretion Rules within the Members' Area in accordance with article 9 of the Terms, and may remind the Member of them, suspend access or terminate the Membership in accordance with article 17 of the Terms where they are not observed.
25. Complimentary Memberships
25.1 TMR may, at its sole discretion, grant a Membership free of charge to any person of its choice (a "Complimentary Membership"), for a limited period of at most twelve (12) months, renewable at the discretion of TMR. A Complimentary Membership is governed by the Terms as any Membership, save that: no fee is due and articles 3, 4, 14, 16 and 18 of the Terms do not apply; it includes at most one Included Evening in each twelve month period, as decided by TMR; it is not part of the First 30, carries no numbered Membership Card and cannot be transferred or converted into another plan; and TMR may end it at any time with one month's notice by email.
25.2 Where a Complimentary Membership is granted under an agreement with a Partner House, its duration and its end follow that agreement, as communicated to the Member.
26. End of the Membership
26.1 When the Membership ends for any reason, access to the Members' Area and to the Privileges ends, the Membership Card is deactivated, and any Included Evenings not used expire without compensation, subject to the Terms and applicable law. The First 30 rate is lost definitively in the circumstances set out in article 15.2 of the Terms. The Member remains bound by article 24 of the Terms with respect to information obtained within tmr Circle, and by article 7 of the Terms with respect to the content of TMR. A former Member may apply again, at the conditions then in force.
27. Booking of Gatherings
27.1 Seats at Gatherings are booked through the Ticketing Service, at the price and conditions communicated for each Gathering, and are confirmed by TMR subject to available seats. A booking is personal and cannot be transferred to another person, unless TMR agrees otherwise for a given Gathering.
27.2 tmr Evenings are reserved for Members and, under article 15.5 of the Terms, their guests. Beyond the Included Evenings, a Member may book seats at tmr Evenings as Additional Evenings, at the price communicated at the time of booking and paid at that time. Each tmr Evening includes the food and drinks served during the evening, as described for each date.
27.3 Special Editions and Open Events are ticketed on their own, at the price and conditions communicated for each Gathering. Some are reserved for Members; where a Gathering is open beyond tmr Circle, Members book first and benefit from their rate.
28. Cancellation
28.1 Seats booked for a specific date are not subject to the right of withdrawal, as set out in article 4.3 of the Terms.
28.2 A seat booked as an Additional Evening, at a Special Edition or at an Open Event is not refundable where the Participant cancels or does not attend, whatever the timing, unless TMR is able to reallocate the seat to another person, in which case TMR refunds the price paid, less the fees charged to TMR by the Ticketing Service and the Payment Service Provider. TMR may also, at its discretion, offer to transfer the booking to another date.
28.3 An Included Evening that has been confirmed and is not attended is used; it is restored where the Member cancels at least seventy-two (72) hours before the tmr Evening, as set out in article 21.2 of the Terms.
28.4 Where TMR cancels or postpones a Gathering, the Participant may choose between a full refund of the price paid or a transfer to another date; an Included Evening is restored to the Member.
29. Conduct at Gatherings
29.1 The Participant attends in accordance with the rules of the venue and with the Discretion Rules, which apply to all Participants, Members or not, for the duration of the Gathering and with respect to any information obtained there. The Participant shall behave in an appropriate and respectful manner, shall not possess, use or be under the influence of illegal drugs or other illegal substances and shall consume alcohol responsibly. TMR may refuse admission to, or ask to leave, a Participant whose behaviour is contrary to these rules or otherwise inappropriate, disruptive or harmful to other Participants, TMR, the venue or its staff, without refund.
29.2 Some Gatherings involve physical activity, in a studio or otherwise. By booking, the Participant confirms that, to the best of the Participant's knowledge, there is no medical reason preventing participation, having sought the advice of a health professional where appropriate. The Participant takes part under the Participant's own responsibility, complies with the conditions of participation set by the studio or venue, and follows the instructions of the professionals leading the activity, without prejudice to any liability of TMR or any third party under applicable law.
